1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the ReplyList application at app.replylist.com (the "Service"), operated by ReplyList ("we," "us," or "our").
By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
ReplyList is a productivity tool that connects to your email, chat, and project management accounts to identify messages and tasks that need your response. The Service uses artificial intelligence to analyze incoming messages, tracks items awaiting your reply, and sends you periodic digest notifications summarizing what needs your attention.

3.1 Eligibility
You must be at least 13 years of age to use the Service. By creating an account, you represent that you meet this requirement.
3.2 Account Information
You must provide accurate and complete information when creating your account, including a valid email address and phone number. You are responsible for keeping your account credentials secure and for all activity that occurs under your account.
3.3 Account Security
You must notify us immediately at support@replylist.com if you become aware of any unauthorized access to your account. We are not liable for any loss arising from unauthorized use of your account.
4. Connected Accounts and Authorization
4.1 OAuth Authorization
To use the Service, you must authorize ReplyList to access one or more of your third-party accounts (e.g., Gmail, Slack). When you connect an account, you grant us permission to access your data from that service in accordance with our Privacy Policy.
4.2 Scope of Access
We request only the permissions necessary to provide the Service. For email accounts, this includes read access to messages. For chat accounts, this includes read access to messages and channels. We do not send messages, modify your data, or take actions on your behalf in connected accounts unless explicitly stated.
4.3 Revoking Access
You may disconnect any connected account at any time from the Accounts page in the application. You may also revoke access directly through the connected service's settings (e.g., Google Account permissions, Slack app management).
4.4 Third-Party Terms
Your use of connected third-party services is also subject to those services' own terms and privacy policies. We are not responsible for the practices of third-party services.
5. Plans, Billing, and Payments
5.1 Free Trial
New accounts receive a limited free trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. The trial duration and included features may change at our discretion.
5.2 Paid Plans
Paid plans are billed on a recurring monthly basis. The features and account limits for each plan are described on the billing page within the application. We reserve the right to change pricing with 30 days' advance notice.
5.3 Payment Processing
All payments are processed by Stripe. By subscribing to a paid plan, you agree to Stripe's Terms of Service. You authorize us to charge your payment method on a recurring basis.
5.4 Failed Payments
If a payment fails, we will attempt to notify you and provide a grace period to update your payment method. If payment is not resolved within the grace period, your account may be locked. Locked accounts retain your data but restrict access to the Service until payment is resolved.
5.5 Cancellation
You may cancel your subscription at any time from the Billing page. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the period you have already paid for. We do not provide prorated refunds for partial billing periods.
5.6 Refunds
Payments are generally non-refundable. If you believe you have been charged in error, contact us at support@replylist.com and we will review your request on a case-by-case basis.
6. Teams
Certain plans allow you to create or join teams. If you create a team, you are the team owner and are responsible for:
- Billing for all team seats
- Managing team membership and roles
- Ensuring team members comply with these Terms
Team members share billing and plan status but do not have access to each other's connected accounts, messages, or personal settings. See our Privacy Policy for details on data sharing within teams.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorized access to the Service, other accounts, or our systems
- Interfere with or disrupt the Service or its infrastructure
- Use automated means (bots, scrapers) to access the Service except through our documented APIs
- Reverse-engineer, decompile, or disassemble any part of the Service
- Circumvent any usage limits, rate limits, or access controls
- Create multiple accounts to evade restrictions or abuse free trials
- Use the Service to send spam, phishing, or other unsolicited messages
- Resell or redistribute access to the Service without our written consent
We reserve the right to suspend or terminate accounts that violate these terms or that we reasonably believe are engaged in abusive behavior.
8. Intellectual Property
8.1 Our Property
The Service, including its design, code, features, and documentation, is owned by ReplyList and is protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding.
8.2 Your Data
You retain all rights to the data you provide to the Service and the data accessed through your connected accounts. We claim no ownership over your content. You grant us a limited license to process your data solely as necessary to provide and operate the Service.
9. Account Termination
9.1 By You
You may delete your account at any time from the Settings or Profile page. Account deletion permanently removes all of your data as described in our Privacy Policy. If you have an active subscription, it will be cancelled automatically.
9.2 By Us
We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or fail to maintain a valid payment method for a paid plan beyond the grace period. We will make reasonable efforts to notify you before termination except in cases of severe abuse.
9.3 Inactive Accounts
Free accounts that remain inactive for an extended period may be flagged for cleanup. We will notify you before taking any action on an inactive account.
9.4 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy. Sections 8, 10, 11, 12, and 14 survive termination.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not guarantee the accuracy of AI analysis results. The Service is a productivity aid and should not be relied upon as the sole means of managing important communications.
We are not responsible for the content, accuracy, or availability of third-party services that you connect to ReplyList, or for any data loss caused by those services.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPLYLIST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
12. Indemnification
You agree to indemnify and hold harmless ReplyList and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Modifications to the Service
We may modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to provide advance notice of material changes. We are not liable for any modification, suspension, or discontinuation of the Service.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice in the application before the changes take effect. Your continued use of the Service after the updated Terms become effective constitutes acceptance of the new Terms.
15. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising out of or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in Delaware. You agree to waive any right to participate in a class action lawsuit or class arbitration.
16. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ReplyList regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights at any time.
